Ecosystem Partner Terms
Version in force from 23/09/2026.
These terms apply to your organisation's Ecosystem Partner membership of Out-There HealthTech, operated by Health On Cloud Productions Limited, trading as Out-There HealthTech, a company registered in England and Wales under company number 15294054. In these terms, "you" means the organisation that holds the membership, and "we", "us" and "our" mean Health On Cloud Productions Limited. The person who accepts these terms confirms that they are authorised to accept them on the organisation's behalf.
These terms incorporate the platform's Terms of Use and the Privacy Notice. The Terms of Use apply to your organisation and to every person who uses the platform on its behalf, whether or not they hold any other membership of the platform. By accepting these terms, you accept the Terms of Use, in the version in force, for your organisation, and each of your people accepts them when they take up their place. Where these terms and the Terms of Use overlap, the Terms of Use take precedence in protecting members; these terms govern the partner relationship. Where one of your people also holds another membership of the platform in their own right, that membership's own agreement continues to apply to them in that capacity.
1. What Ecosystem Partner membership is
Ecosystem Partner membership is for professional service providers whose business helps healthtech companies succeed. It gives your organisation visibility to the professional community on Out-There HealthTech: an entry in the ecosystem directory, a presence in The Solutions Hub, the ability for members to message you directly, and, depending on your tier, your logo on the platform, featured content, an interview, and the right to post events and take part in joint events. The tiers are currently Solution Provider, Visibility Partner and Strategic Partner. What each includes, how many people it may name, what it costs and the period it covers are set out in its description when you join or change tier.
Membership is not exclusive. It gives you an audience and a place to demonstrate expertise; it does not guarantee introductions, enquiries, leads or business. We may change what the directory, The Solutions Hub or a tier includes; where a change materially reduces what your tier provides during a period you have paid for, section 8 applies.
2. Your listing and what you publish
You are responsible for everything published under your organisation's name on the platform: your directory entry, your profile, your logo, and anything your people post in The Solutions Hub or elsewhere as your representatives. You confirm that:
- it is accurate, current and not misleading, and you will keep it so;
- you hold the rights to publish it, including any logo, image, case study or client name it contains;
- any statement about your products or services — what they do, who uses them, what they cost, and what results they achieve — can be substantiated;
- any statement about regulatory or clinical status is accurate: including whether a product is a medical device, its UKCA or CE marking and class, its MHRA registration, whether it has been assessed against the NHS Digital Technology Assessment Criteria, and what clinical evidence supports it. You will not describe a product as approved, certified, compliant or evidenced where it is not.
The Solutions Hub is for showing members what you know, not for selling to them. Posts there should be insights, updates, guidance and resources that a healthtech professional would find useful whether or not they ever buy from you. We may remove a post that is an advertisement rather than a contribution, and repeated advertising is a breach of these terms.
You grant us a non-exclusive, royalty-free licence to host, display and reproduce your listing, your logo and your published content on the platform — including in the partner footer where your tier includes it — and in the platform's own communications, for as long as your membership lasts. We may edit a listing for format and length, and we may remove or decline to publish content that breaches these terms, the Terms of Use, or the law.
3. No endorsement
A directory entry, a featured post, a logo placement, an interview or a post in The Solutions Hub is signposting. We do not verify, endorse, recommend or guarantee your organisation, its products or its services, and you must not say or imply that we do. Any arrangement between you and a member is between you and them. You may describe yourself as an Ecosystem Partner of Out-There HealthTech at your tier and use the partner badge we provide, in the form we provide it; you may not otherwise use our name, logo or brand without our written agreement.
4. Members and their information
Members can message you directly when they want to engage; that is the connection this membership exists for. Beyond it, the following applies to your organisation and your people:
- You may contact a member individually about a genuine professional matter. You must not send unsolicited commercial messages, run outreach campaigns through the platform's messaging, or approach members repeatedly after they have not responded.
- Members' information seen on the platform may not be copied, exported, or entered into any mailing list, sales pipeline, recruitment database or CRM system, and may not be passed to anyone outside your organisation.
- Where a member contacts you through the platform or through your listing, you may respond to that enquiry and deal with them about it. Adding them to marketing communications needs their agreement, given to you directly.
- You may not use the platform to compile a picture of the community, its members or their organisations for any purpose other than responding to members who approach you.
Treat members' information as you would want your own customers' information treated. If you would not be comfortable explaining your use of someone's details to them directly, do not do it.
5. Events, featured content and content we produce with you
Where your tier lets you post events or take part in joint events, each event must be relevant to healthtech professionals, accurately described, and a genuine session rather than a sales presentation. We may decline or remove an event that is not, and the number of events your tier allows is a limit, not an entitlement to fill. A joint event or co-branded item is arranged with us in advance, and we decide how it is published on the platform.
Where your tier includes content we produce with you — a featured post, an interview or a recording — we may publish it on the platform and in our own channels during your membership and afterwards. If you ask us in writing after your membership ends, we will stop using it within a reasonable time, except where it has already been distributed or forms part of a record we must keep.
6. Patient and clinical information
Out-There HealthTech operates in the healthtech and life sciences sector, and the platform is not a clinical system. You must not publish, post, send or upload patient-identifiable information, clinical records, or any special category personal data about an individual — including in case studies, testimonials, screenshots, event material and demonstration material — even where it has been partially redacted or pseudonymised. A case study must use consented, anonymised or synthetic material. If you find such information has been published under your name, remove it and tell us immediately.
What you publish or present on the platform is general information and professional promotion. It is not clinical, regulatory, legal or financial advice, and must not be presented as such.
7. Your people
Your membership is held by your organisation and exercised through the people you name on it, up to the number your tier allows. You are responsible for what they do under it. Tell us promptly when someone leaves your organisation or should no longer represent it, so their access can be changed; until you do, their actions remain yours.
The Out-There Ecosystem membership is a peer community for healthtech professionals and is not open to businesses selling services to its members. Your people take part in the community as your representatives through this membership, and must not use any membership held in their own right to promote your services.
8. Fees, renewal and changes of tier
- Fees, the tier they buy and the period they cover are set out to you before you commit, and are payable in advance unless we agree otherwise. Fees exclude VAT unless stated.
- A paid tier renews only where expressly agreed, and we will tell you before any renewal takes effect.
- You may move to a higher tier at any time, on terms set out at the time; a move to a lower tier or to the free tier takes effect at the end of the period you have paid for.
- Where we are unable to provide a material part of what you have paid for, we will offer a pro-rata refund of the affected period. Fees are not otherwise refundable if you choose to leave or reduce your tier before the end of a period you have paid for.
- Where a fee is overdue, we may suspend the paid benefits of your tier until it is paid, and end your membership if it remains unpaid after we have asked twice.
The free tier carries no fee and no entitlement to any paid benefit.
9. Suspension and ending
You may end your membership at any time by telling us at community.management@outtherehealthtech.com. A paid membership continues to the end of the period you have paid for.
We may suspend or remove your listing, restrict your people's use of the platform as your representatives, or end your membership: for breach of these terms, the Terms of Use or the law; where a statement you have published is misleading or cannot be substantiated; where complaints from members give us reasonable cause; for non-payment; or where continuing would in our reasonable judgement harm the platform or its members. Where it is reasonable to do so, we will tell you why and give you an opportunity to respond.
When your membership ends, your listing, logo placements and event rights are removed, and your people's access reverts to whatever membership of the platform they hold in their own right. Sections 3, 4, 5, 6, 10 and 11 continue to apply.
10. Data protection
We are the controller of the information we hold about your organisation and your people, and process it as described in the Privacy Notice. You are the controller of any personal information you obtain through your membership, and are responsible for handling it lawfully, including any enquiry a member sends you. Each of us will help the other, within reason, to meet a request from an individual about their information.
11. Responsibility
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that:
- we are not liable for the decisions, acts or omissions of any member or community, or for any arrangement you enter into with them;
- we are not liable for business losses, including loss of profit, revenue, business, opportunity, contracts or anticipated savings;
- our total liability arising out of or in connection with your membership is limited to the fees you paid us in the twelve months before the claim arose, or £100 for the free tier;
- we give no warranty that the platform will be error-free, secure or continuously available, or that your listing, content or events will reach any particular audience or produce any result.
If we suffer loss, damage, cost or expense as a result of your breach of these terms, a claim by a member or a third party concerning your listing, your published content, your events or your products or services, or a statement of yours that proves misleading, you agree to reimburse us for it, including reasonable legal costs.
12. Changes to these terms
We may change these terms. A material change — one that alters what you may do, what you must do, what you pay, or how members' information may be used — is published as a new version and takes effect for you only when accepted on your behalf; we may withhold partner benefits until it is. A minor change, such as a correction, a clarification or a renamed tier, takes effect when published and is recorded against the version you last accepted.
13. General
Changes to these terms are made as section 12 describes. We may transfer our rights and obligations under these terms to another organisation and will tell you if we do; you may not transfer yours without our written agreement. If any part of these terms is unenforceable, the rest continues to apply. If we do not enforce a term immediately, we do not lose the right to do so later. Only you and we may enforce these terms; no other person has rights under the Contracts (Rights of Third Parties) Act 1999, except that section 11 may be relied on by our directors and personnel. These terms, together with the documents named at the top, are the whole agreement between us about your partner membership. They are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
Questions about these terms go to community.management@outtherehealthtech.com.
14. Acceptance
By ticking the box, the person applying accepts these terms on your organisation's behalf, in the version shown. The acceptance is recorded against their account when they apply and against your organisation when the application is approved, with the date and the version number, and kept for as long as the platform's records policy requires. Your organisation may withdraw its acceptance by writing to community.management@outtherehealthtech.com; withdrawing it ends your partner membership.
